Important Notice
These General Terms of Service (these "Terms") create a binding contract that governs the access to and use of Services and Platform. These Terms are divided into General Terms (which apply to all Services), and additional Regional Terms, which only apply based on the User Location.
IT IS YOUR RESPONSIBILITY TO ENSURE THAT YOU HAVE READ AND UNDERSTOOD THESE TERMS AND ANY ACCOMPANYING RISKS AND OBLIGATIONS. BY USING SLEEK SERVICES, YOU AFFIRMATIVELY AND UNCONDITIONALLY ACCEPT AND AGREE TO THESE TERMS AND OUR PRIVACY POLICY.

2.1 The User may engage Sleek to perform Services on a standalone or integrated basis, displayed as the Subscription on the Platform, subject to and in accordance with these General Terms and the applicable Regional Terms.
2.2 The User acknowledges that:
(i) the scope of work for each Service is as set out in the Regional Terms corresponding to the User Location where the Service is delivered;
(ii) where a Service is not listed in the Regional Terms, or cannot lawfully be provided in that jurisdiction, the provisions of these Terms relating to such unavailable Service shall be of no force or effect with respect to the User; and
(iii) in the event of any conflict or inconsistency, the Subscription details confirmed on the Platform shall prevail, followed by the relevant invoice, then the applicable Regional Terms and then these General Terms.
2.3 Additional Services. In addition to the Services included in the User’s Subscription, Sleek may, at the User’s request and subject to availability, provide additional or ad hoc services. Such services may be subject to additional fees as specified in Clause 8 and other terms agreed between the parties. The User's request for, or acceptance, use or receipt of the benefit of, any Additional Service constitutes User's approval of that Additional Service and its agreement to pay the applicable Fees.
2.4 Sleek may require that, in order for the performance of the Services (including the services of acting as nominee director), the User shall enter into any supplemental agreements, order forms or carry out any acts required by Sleek or by law in order for Sleek to provide the Services. Sleek shall not be obliged to provide any of the Services if the User fails to enter into a supplemental agreement or carry out any acts required by Sleek or by law.
2.5.1 Upon expiry of Billing Period or in case of a Lapsed Subscription:
(a) Deadline-Based Service. If completion of any Deadline-Based Service remains outstanding at the end of its Billing Period, Sleek shall remain obligated to complete such outstanding deliverable, subject to the following:
(i) Sleek may request the User Inputs reasonably required for performance of a pending Deadline-Based Service. The User must provide complete and accurate User Inputs within fifteen (15) business days of Sleek’s request, or within such a shorter period as Sleek may reasonably specify where necessary to meet an applicable statutory deadline.
(ii) If the User fails to provide requested User Inputs within the timeframe specified in Clause 2.5.1(a)(i), Sleek is not obligated to perform the Deadline-Based Service and incurs no liability (including regulatory non-compliance, fines, fees, or taxes) for resulting delays. If Sleek elects, in its sole discretion, to proceed using the User Inputs available to it, the resulting deliverable will be subject to Clause 4.7 (Deemed Approval);
(iii) If Sleek is required to complete any Deadline-Based Service under Clause 2.5.1(a) but fails to do so, the User's sole remedy is completion of the Service or, at Sleek's election, a refund of the Fees paid for that Service in accordance with Clause 10 (Refunds).
(b) All other Services, not being Deadline-Based Service, shall at the sole discretion of Sleek, cease at the end of their respective Billing Period, and Sleek may resign, or procure the resignation of, any Sleek Appointee (including any nominee director or company secretary) and take such steps with the relevant registry as are permitted by Applicable Law, in accordance with Clause 18 (Effect of Termination).
2.6 These Terms commence on the Effective Date and continue until terminated by either Party in accordance with Clause 17. For the avoidance of doubt, the expiration, completion, or non-renewal of any individual Subscription shall not, of itself, terminate these Terms.
3.1 Access to the Services and the Platform is strictly for registered Users and their Authorised Representatives. A User shall not allow any unauthorised third party to access the Services under its Account.
3.2 If Sleek detects or reasonably suspects that the Services are being accessed or used by any individual who is not a registered User or Authorised Representative of the company, Sleek reserves the right to suspend or terminate the User's access to the Services; charge additional fees for each unregistered or unauthorised user at Sleek's sole discretion; and take legal or other necessary actions to enforce compliance.
3.3 A User registering on the Platform has access to the Platform through the combination of a username and a password. The combination of username and password is strictly private and shall be kept confidential by the User.
3.4 Sleek is under no obligation to commence, and will not commence, the provision of any Services until the User has satisfied all onboarding, verification and customer due diligence requirements in accordance with Clause 6 (Compliance and Customer Due Diligence). The commencement and continued provision of the Services remain subject to Clause 6 at all times.
3.5 Where the provision of any Service requires the User to provide historical, financial, accounting, statutory or other records relating to periods prior to onboarding (including in the case of a User transferring from another service provider), the User shall provide complete and accurate records for all such periods reasonably required by Sleek. If the User is unable or fails to provide such records to Sleek's reasonable satisfaction, Sleek may decline to onboard the User, decline to commence or continue the affected Service, or limit the Service to periods for which adequate records are available, in each case without liability to the User; and any Fees paid in respect of a Service that cannot proceed for this reason shall be dealt with in accordance with Clause 10 (Refunds).
3.6 Sleek reserves the right to audit and verify the User's usage of the Services to ensure compliance with these Terms. This may include reviewing account access logs, user activities, and company records. If Sleek reasonably determines that You have exceeded the permitted number of users or violated usage restrictions, Sleek may request immediate corrective actions, including the registration of additional users; charge additional fees for excessive or unauthorised usage; and suspend or terminate access if corrective actions are not taken within a reasonable timeframe.
3.7 In order to use the Platform and the Services, the User must provide all information and documents requested by Sleek (including any User Personal Data). The User undertakes and warrants that the User Personal Data provided to Sleek shall at all material times be accurate, up-to-date and complete.
3.8 In case of any change in the User Personal Data following registration the User shall be responsible to update this information without delay. Sleek shall not in any way be held responsible or liable in the event that the User fails to update the User Personal Data or fails to notify Sleek of any change of User Personal Data.
4.1 User or its duly Authorised Representatives may instruct Sleek in relation to the Services in writing. Any instructions provided to Sleek must be sent to such address, phone, or email address as Sleek may specify from time to time. Sleek will not act on instructions sent by any messaging services or applications, other than Platform or formal email.
(a) The User is responsible for designating and maintaining the individuals authorised to access the Services, give instructions on its behalf and to legally bind the User (each an "Authorised Representative") and for keeping their details current on the Platform.
(b) Sleek may rely on, and act upon, any User Inputs given by an Authorised Representative, and is under no obligation to verify the authority of any person appearing to be authorised, save where Sleek has notice of an Authority Dispute.
(c) Sleek is not obliged to accept User Inputs, or disclose information to, any person who is not an Authorised Representative, including any shareholder, director or officer who has not been designated as such, and may decline to act pending verification of authority.
(d) The User shall notify Sleek promptly of any change to its Authorised Representatives; any such change takes effect only once Sleek has received and processed the notification.
4.3 Authority disputes. If Sleek receives conflicting User Inputs, or becomes aware of any dispute between directors, shareholders or Authorised Representatives as to who may instruct Sleek on the User’s behalf (an “Authority Dispute”), Sleek may, without liability:
(a) decline to act on any User Inputs, including those of any Authorised Representative, and suspend the affected Services and Platform access for any or all individuals;
(b) decline to process any change to Authorised Representatives, officers, shareholders or Platform access while the Authority Dispute continues;
(c) correspond with all directors and shareholders of the Managed Entity on Sleek’s records, and disclose to them such information as Sleek reasonably considers necessary in relation to the Authority Dispute, and any such correspondence shall constitute notice to the User; and
(d) resume acting only on receipt of (A) a written instruction or settlement agreement signed by all parties to the Authority Dispute, or (B) an order of a court of competent jurisdiction. A board or shareholder resolution whose validity is disputed by any director or shareholder shall not be sufficient.
If the Authority Dispute is not resolved to Sleek’s reasonable satisfaction within thirty (30) days of suspension, Sleek may terminate the affected Services or these Terms on written notice. Further, the User agrees that the User shall bear, and indemnify Sleek and Sleek Appointees against, all costs (including legal fees) and Losses incurred in connection with any Authority Dispute, including in responding to correspondence, claims or proceedings brought by any party to it.
4.4 Sleek shall use reasonable endeavours to act on the User's Inputs within a reasonable time. Unless otherwise agreed in writing, Sleek does not warrant that any User Inputs will be acted upon immediately, within the same day, or by any particular deadline. Sleek shall not be liable for any Loss arising solely from the time taken to process or act upon any instruction.
4.5 Sleek may, at its sole discretion, refuse to act on any User Inputs, or take such action as it reasonably considers necessary to prevent or mitigate any actual or potential risk, where Sleek reasonably believes that the requested action:
(a) would breach, or may cause Sleek or Sleek Appointees to breach, any Applicable Laws or their professional obligation;
(b) may expose Sleek or any of Sleek Appointees to actual or potential liability, Loss or regulatory action, unless the User has provided such indemnity or security as Sleek reasonably requires; or
(c) may materially prejudice the reputation, goodwill or legitimate business interests of Sleek.
4.6 Sleek shall not be liable for any Loss arising out of or in connection with:
(a) any failure or delay in acting on any User Inputs that is not in writing (where written instructions are required), or that Sleek reasonably considers to be unclear, incomplete, ambiguous, contradictory or erroneous;
(b) the non-receipt, delayed receipt or corruption of any instruction or communication;
(c) Sleek acting on User Inputs that it reasonably believes have been given by an Authorised Representative on behalf of the User, or refusing to act where Sleek reasonably doubts such person's authority; or
(d) any act or omission by Sleek in accordance with these Terms or as otherwise permitted or required by Applicable Law.
(e) suspension or termination on account of inconsistent or conflicting instructions,including any resulting late filing fee, statutory penalty or regulatory action, including strike-off.
4.7 Deemed approval of filings and documents. Where Sleek provides any document, return or regulatory filing to the User for review, the User shall review and approve or reject it within fifteen (15) business days of receipt, or such shorter period as Sleek reasonably specifies to meet an applicable statutory or regulatory deadline. If the User does not respond within the applicable period, Sleek may, at its discretion, treat the document or filing as approved and may proceed using the User Inputs then available to it. Where Sleek does so, the User shall be deemed to have approved the document or filing and shall bear any Losses arising from the User’s failure to respond or from Sleek’s reasonable reliance on such deemed approval, except to the extent caused by Sleek’s wilful misconduct or breach of these Terms. Sleek is not obliged to treat any document or filing as approved or to proceed with any filing where required User Inputs remain outstanding and any filing under this clause remains entirely discretionary.
4.8 Where the User is a Managed Entity, Sleek’s obligations under these Terms are owed to the Managed Entity alone and not to any director, shareholder, Authorised Representative or other individual, regardless of who gives instructions, uses the Platform or pays the Fees. Sleek does not determine disputes between such persons, and is not obliged to act on any request from a person who is not an Authorised Representative of the User.
5.1 Accuracy of information. The User shall be solely responsible for ensuring all User Inputs and User Personal Data provided to Sleek are complete, accurate, and not misleading in any material respect and in compliance with Applicable Laws. User undertakes that no User Inputs given to or requests made of Sleek will involve any unlawful act or contain any false, inaccurate, or misleading information.
5.2 Response timelines. The User acknowledges that timely provision of all User Inputs reasonably requested by Sleek is necessary for the proper performance of the Services and shall provide such User Inputs promptly. Unless otherwise agreed in writing or where a shorter period is reasonably required to comply with Applicable Law, the User shall respond to any request from Sleek within fifteen (15) business days. User further agrees that in the event User fails to provide the requested User Inputs within the required timeframe, Sleek may, without liability: (a) suspend or delay the affected Services until the relevant User Inputs are received; (b) extend any agreed timelines, milestone or delivery date as reasonably necessary; and (c) charge the User for any additional work, costs or expenses reasonably incurred as a result of such delay.
5.3 Lawful and Acceptable Use. The User represents, warrants, and agrees to use the Platform and Services strictly for lawful purposes in compliance with Applicable Law. The User shall not use the Platform or Services, directly or indirectly, for any fraudulent or criminal activity, including money laundering, terrorist financing, bribery, corruption, sanctions evasion, or tax evasion, nor store, transmit, or process malicious or infringing content, or attempt to damage, disable, impair, or circumvent the security or controls of the Platform.
5.4 Responsibility for compliance. The User is solely responsible for tracking, determining, and acting upon all applicable tax, reporting, licensing, registration, statutory compliances or other regulatory frameworks affecting the User's business. Sleek’s role is strictly limited to the execution of the specific administrative corporate services selected in the User’s Subscription. Sleek assumes no duty, obligation, or liability to monitor, track, calculate, or notify the User of any business metrics, financial milestones, compliance thresholds or regulatory obligation or deadline. Where Sleek is obliged to meet User requirements or legal obligations, User authorises Sleek to take steps it reasonably deems necessary to comply, including obtaining professional advice at the User's expense, provided that Sleek shall notify the User before incurring any material cost where reasonably practicable.
5.5 Confirmation of applicable Service period. When engaging or instructing any Service, the User shall confirm in its instructions the financial year, statutory period or filing to which that Service relates, and shall provide any information Sleek reasonably requires to identify it. To the extent the User provides such information, Sleek may record and display it against the relevant Subscription on the Platform (identifying the Service and the period, financial year or filing deadline to which the Fees relate) and may rely on it in performing the Service. Sleek shall not be responsible or liable for any consequence arising from the User's failure to confirm, or its confirmation of an incorrect, applicable period.
5.6 Payment method authority. The User is solely responsible for all payment methods (including credit cards, debit cards, and bank account details) added to or associated with its Account. The User warrants that any payment method added is lawfully owned or expressly authorised for use by the User, and that any individual adding a payment method has full authority to do so. Sleek is under no obligation to verify the identity, authority, ownership, or consent of any cardholder, account holder, or individual (including any employee, director, officer, or third party) who inputs or saves a payment method on the Platform.
5.7 Conduct towards Sleek personnel. The User shall not, and shall procure that its representatives do not, engage in any abusive, threatening, harassing or discriminatory conduct towards Sleek's personnel or Sleek Appointees. Sleek may suspend the Services in accordance with Clause 7.6 and, where such conduct is serious or persists, terminate the Services, in each case without liability, where this clause is breached.
5.8 Notification obligations. The User shall promptly notify Sleek in writing of: (a) any change in its directors, shareholders, beneficial owners, Authorised Representatives or contact details; (b) any insolvency, winding-up, receivership or analogous event affecting the User; (c) any criminal, regulatory or enforcement investigation involving the User or any of its officers; and (d) any dispute affecting authority to instruct Sleek.
5.9 Third-party personal data. Where the User provides Sleek with personal data of any individual other than itself (including directors, shareholders, beneficial owners, employees or their family members), the User warrants that it is authorised to do so and has a lawful basis (including any necessary consent) for Sleek to process that data for the purposes of the Services and the Privacy Policy, and shall indemnify Sleek against any claim arising from a breach of this warranty.
5.10 Non-solicitation of personnel. During the term and for twelve (12) months afterwards, the User shall not, without Sleek's prior written consent, solicit for employment or engagement any Sleek personnel or Sleek Appointee involved in providing the Services.
5.11 Use of Sleek's address and personnel. The User shall use any address or facility Sleek provides only for the permitted purpose (and not as a trading address unless expressly agreed), and shall not hold out any Sleek Appointee as having authority beyond the scope of the Services, nor use the name or details of any Sleek personnel or Sleek Appointee except as necessary to receive the Services.
6.1 As a regulated provider of corporate and business services, Sleek must comply with applicable anti-money laundering, counter-terrorism financing, sanctions and other financial crime laws and regulations ("Compliance Laws"). Accordingly, Sleek may conduct such compliance checks as it reasonably requires before, and during, the provision of the Services.
6.2 The commencement and continuation of Services are conditional upon the User successfully completing all know your customer (KYC), know your business (KYB), customer due diligence (CDD), sanctions screening and other compliance checks required by Sleek. The User shall promptly provide all User Inputs reasonably requested and ensure they remain complete, accurate and up to date.
6.3 The User represents and warrants that neither it, nor any of its beneficial owners, directors, officers or Authorised Representatives, is engaged in any unlawful or fraudulent activity and will not use the Services in breach of any Compliance Laws.
6.4 Sleek may conduct periodic compliance reviews and require updated information or documentation at any time.
6.5 Where any requirement in this Clause 6 is not met, or Sleek reasonably considers that providing the Services may expose it to legal, regulatory or reputational risk or breach any Compliance Laws, Sleek may, without liability: (a) decline to commence or provide the Services; (b) suspend the Services in accordance with Clause 7.6; and/or (c) terminate the Services under Clause 17. To the extent permitted by law, Sleek has no obligation to disclose the reasons for its decision.
6.6 The applicable Compliance Laws and jurisdiction-specific requirements are set out in the relevant Regional Terms.
7.1 Subject to Clause 7.6 and to Sleek's obligations under Clause 7.2, Sleek may suspend or temporarily discontinue any Service where reasonably necessary, and shall give the User such notice as is reasonably practicable in the circumstances.
7.2 Sleek will use reasonable efforts to keep the Services available but they may be interrupted for maintenance, repairs, upgrades, or network/equipment failures.
7.3 Operation of the Services may be affected by external/force majeure events (epidemics, strike, blockade, war, terrorism, riot, natural disaster, power failure, etc.).
7.4 Sleek is not responsible or liable for any act, omission, delay, rejection, system outage, or policy change of any government authority, regulator, registry, financial institution, or other third party involved in the provision of the Services.
7.5 Sleek is not liable for any delay or failure to perform caused by You, a third party connected with You, the events in Clauses 7.3 and 7.4, or any other event beyond Sleek's reasonable control.
(a) Sleek may suspend the provision of all or part of the Services, and/or the User's access to the Platform, immediately and without liability where:
(i) any KYC, KYB, CDD, sanctions or other compliance requirement is outstanding or, in Sleek's reasonable opinion, a compliance, legal, regulatory or reputational risk is identified pursuant to Clause 6.5;
(ii) Sleek receives conflicting or inconsistent instructions pursuant to Clause 4.3;
(iii) any Fees are overdue;
(iv) the User is in breach of these Terms; or
(v) required by Applicable Law or any regulator, registry or authority;
(b) Where the Services are suspended under this clause, the applicable Billing Period and Fees continue to run, and no refund or credit will be given for the period of suspension.
(c) Where required or permitted by Applicable Law, Sleek may make a report or disclosure to any relevant authority in connection with the Services, and is not obliged to notify the User of, and may be prohibited by law from notifying the User of, any such report or disclosure.
(d) Suspension is without prejudice to Sleek's right to terminate under Clause 17.
8.1 The User shall pay the Fees for any Service within seven (7) days of the date of Sleek’s invoice (the “Due Date”). Subscription renewals and associated payment obligations shall be governed by Clause 9.
8.2 Unless a fixed fee is agreed in writing, Additional Services are charged at Sleek's then-current rates, taking into account the nature, complexity and urgency of the Additional Services. Sleek will notify the User of the fee or basis of charge where reasonably practicable. Sleek will separately invoice Additional Services, and the User shall pay each invoice within Due Date or, where the User holds an SBA, by deduction under Clauses 8.3 and 8.13. Fees for Additional Services duly performed are non-refundable, except as otherwise required by Applicable Law.
8.3 Payment Methods. The Fees shall be paid by one or more of the following methods:
(a) automatic deduction from the User's Sleek Business Account balance (as defined in Clause 8.13, the "SBA"), where the User holds an SBA with Sleek;
(b) through a secure payment process incorporated into our Platform, which can be securely paid by credit card, debit card or bank wire; or
(c) by electronic invoice.
8.4 Where the User holds an SBA, the User authorises Sleek to automatically deduct Fees from the User's SBA balance on the Due Date (or as soon as practicable thereafter). If the SBA balance is insufficient to cover the Fees in full, Sleek shall be entitled to deduct the shortfall from the User's registered credit or debit card (the "Card Payment Method").
8.5 The User shall maintain at least one current, valid credit or debit card registered with Sleek's secure payment partners at all times. For the purposes of these Terms, "Payment Method" means, as applicable, the User's SBA balance and/or the Card Payment Method.
8.6 The User acknowledges and agrees that completion of the online payment process does not constitute Sleek's acceptance of a User's offer to purchase the Services. Consistent with Sleek’s rights under Clause 3 (Registration and Client Onboarding) and Clause 6 (Compliance and Customer Due Diligence), Sleek expressly reserves the right, in its absolute discretion, to reject any User, decline an order, and refuse to commence Services, notwithstanding the receipt of payment if the User fails to satisfy regulatory compliance checks in accordance with Clause 6.5.
8.7 In the event Sleek rejects an order or declines to commence Services under Clause 8.6, Sleek’s sole liability and obligation shall be to refund any pre-paid Fees in full to the original Payment Method, provided no Services have yet been utilised or commenced.
8.8 During the online payment process, the User shall be required to enter their payment details, which are disclosed directly to an independent third-party payments processor. The User authorises Sleek to collect any Fees due to Sleek in accordance with Clause 8.3.
8.9 Payment Methods are the User's sole responsibility under Clause 5.6. Sleek may charge any Payment Method for Fees due and payable, without further enquiry and without liability. If a chargeback or payment dispute is raised, the User remains liable for the underlying Fees and Sleek's reasonable costs. Any payment reversed, declined or not received becomes a debt immediately due and payable.
8.10 All payments are processed by an independent third-party payment processor. Sleek excludes all liability for any Loss or damage that might arise from the processing of User's payment information, and the terms of service of that independent third-party payment processor shall apply.
8.11 All Fees for Services are exclusive of GST or VAT, sales tax, withholding tax or any other taxes that may be applicable / levied in connection with the Services in the contracting jurisdiction (please refer to the Regional Terms), unless otherwise stipulated in an official invoice issued by Sleek.
8.12 If the User has exceeded or will exceed the Prescribed Usage of the Subscription, Sleek may at any time, even following expiry of Billing Period, inform the User that the said Subscription will automatically be upgraded to a new Subscription ("New Subscription"). In the event of such upgrade, the fees payable for the New Subscription will be revised accordingly. The User's continued use and acceptance of the Services will be deemed to constitute acceptance of the upgrade and the fees applicable to the New Subscription. Further, the User authorises Sleek to charge the User via its Payment Method for the fees applicable to the New Subscription.
8.13 Sleek Business Account deduction authority. Where the User holds an SBA, the User authorises Sleek to deduct any Fees, charges or other amounts due and payable (including subscription, renewal and invoiced amounts, administrative charges and statutory filing fees) from the User's SBA balance, and shall give the User reasonable notice of any such deduction. This authority remains in force for so long as the User holds an SBA and any amounts remain outstanding. (Applies only where an SBA is offered, for more details please refer to the Singapore Regional Terms.)
8.14 No set-off. All Fees and other amounts due to Sleek are payable in full without any set-off, counterclaim, deduction or withholding, except as required by law. The User shall not withhold, delay or reduce any payment on account of any dispute, claim or alleged non-performance in relation to the Services; any such dispute shall be raised in accordance with Clause 8.15 and pursued without prejudice to the User's obligation to pay.
8.15 Invoice queries. If the User wishes to query or dispute any invoice, it must notify Sleek in writing, with reasonable details, within fourteen (14) days of the invoice date. If no such notice is received within that period, the invoice shall be deemed accepted by, and final and binding on, the User, save for manifest error. Raising a query does not relieve the User of its obligation to pay undisputed amounts by the Due Date.
8.16 Any overdue amount, including Fees for Additional Services or renewal Fees payable under Clauses 8.2 and 9.1, respectively, may, at Sleek’s discretion, accrue a late payment charge at a rate determined by Sleek from time to time, acting reasonably and in accordance with Applicable Law, from the relevant due date until payment in full. Government, statutory and third-party charges are payable in addition to the Fees.
9.1 Auto Renewal. Sleek shall provide notice of upcoming renewals and any Fee revisions at least forty-five (45) days prior to Renewal Date. Unless the User cancels at least thirty (30) days prior to the Renewal Date ("Renewal Payment Date"), the Subscription automatically renews, and the User authorises Sleek to collect the renewal Fees on the Renewal Payment Date via SBA balance (where applicable) or charging the Payment Method on file pursuant to Clause 8.3.
9.2 Lapsed Subscriptions and Non-Payment. If renewal Fees remain unpaid after Renewal Date, the Service shall be classified as a "Lapsed Subscription" for a period up to ninety (90) days. Sleek may use reasonable endeavours to contact the User during this period regarding renewal and payment, and may, at its discretion, continue providing certain regulatory or other Services during that period. Any such continued Services do not constitute renewal of the Subscription and do not waive Sleek’s right to collect the outstanding Fees. If still unpaid after ninety (90) days post-Renewal Date, the Service shall automatically terminate without further notice. Sleek disclaims all liability for any consequences of a Lapsed Subscription or termination, including missed statutory filings, late penalties, or company strike-off.
9.3 Renewal Pricing. The notified revised Fees will apply from the start of that renewed Billing Period. If the User does not agree to the revised Fees, it may cancel the Subscription in accordance with Clause 9.1 before the renewal takes effect; continued use of the Services after the Renewal Date constitutes full acceptance of the revised Fees.
10.1 General Policy. Except as expressly provided in these Terms or required by Applicable Law, all prepayments of Fees for Services are strictly non-refundable. Refunds or Sleek Credits may only be granted in accordance with this Clause 10 or as provided under Clause 17 (Termination). All refunds and Sleek Credits are calculated based on the actual net Fees paid by the User (after applying any discounts, promotional codes, or credits used).
10.2 No refunds, credits, or offsets shall be provided for partial use, unused portions of a Subscription, or early termination, except as explicitly permitted under these Terms. Sleek may, in its sole discretion, issue eligible pro-rata balances as non-cash store credits ("Sleek Credits"). Sleek Credits: (i) may be applied solely against future purchases of Sleek Services by the contracting client entity; (ii) are non-refundable, non-redeemable for cash, and expire three (3) years from the date of issuance unless otherwise agreed in writing; and (iii) are non-transferable, except that Sleek may, upon request and at its sole discretion, permit the transfer of Sleek Credits to an Affiliate of the User sharing common administrative ownership or issue an equivalent single-use promotional coupon code.
(a) Subject to the limitations set out in this Clause 10.3, a User may request a full refund of the Fees paid for their first Subscription or eligible standalone Services within thirty (30) calendar days from the initial purchase date. To be valid, a refund request must be submitted within this 30-day window either by processing a cancellation request directly through the Platform or by submitting a formal written request to Sleek’s customer support team.
(b) The Guarantee does not apply to, and no refund will be given for: (i) Fees for Services already performed or commenced at the User's request; (ii) third-party, statutory, government, registry or filing fees and disbursements already paid or incurred by Sleek on behalf of User; (iii) recurring compliance services (including nominee director and registered office services), once set-up and registration are complete; (iv) Third-party software licence costs (including accounting software subscriptions) disbursed or committed by Sleek; and (v) any specific Services or product packages expressly designated on the Website, Pricing Page, or Platform as non-refundable or excluded from this Guarantee.
(c) A refund under this Clause is made to the original Payment Method in accordance with Clause 10.1 and, once made, terminates the relevant Services.
(d) The 30-day guarantee is restricted to initial Client onboarding. An existing User adding or subscribing to new Services does not qualify for the 30-day Money-Back Guarantee on any subsequent Services.
10.4 Auto-Renewal Refunds. (a) To receive a cash refund of auto-renewed Subscription Fees paid in accordance with Clause 9.1, the User must submit a written cancellation or refund request prior to the start of the renewed Billing Period. (b) If a refund request for an auto-renewed Subscription is received on or after the start date of the renewed Billing Period, the User shall not be entitled to a cash refund, and any eligible unearned Fees shall be issued solely as Sleek Credits.
10.5 Sleek-Initiated Termination Refunds. If Sleek terminates a Service or offboards a User for its own administrative convenience (other than termination due to User default, non-payment, or material breach), or in the event of a verified Service failure by Sleek (where Sleek fails to deliver a material Service and it can no longer be performed under Applicable Law), the User shall be entitled to a pro-rata cash refund of unearned prepaid Fees and any un-disbursed statutory filing fees.
10.6 Refunds shall generally be made to the original Payment Method. Sleek may, at its sole discretion, refund to an alternative card or bank account where it is satisfied, following such verification as it considers necessary, that the alternative payment method is held in the same name as the original Payment Method. Sleek may withhold or refuse any refund to an alternative payment method where required for, or to address, any legal, regulatory, AML, sanctions, fraud or other compliance concern.
11.1 Sleek may require a User to provide a refundable fixed amount of deposit as security for the provision of certain Services ("Deposit"). Where applicable and necessary, the Deposit may be used by Sleek:
(a) to off-set against any unpaid sums, including but not limited to maintenance and administrative surcharges, for the Services rendered and which continue to remain outstanding for a period of no less than thirty (30) calendar days from the date such sums fall due;
(b) to pay any administrative charges with regulatory authorities, sanctions and filing fees incurred under the User's account to the relevant authorities (please refer to the Regional Terms), as the case may be, for any actions taken by Sleek when discharging its duties under the law; and
(c) to settle any costs incurred by Sleek towards enforcing its right to reclaim the outstanding sums described in sub-clause (a) of this Clause 11.1.
(d) to cover any costs, fees, charges or expenses incurred or reasonably anticipated by Sleek in connection with the offboarding, winding-up, dissolution or strike-off of any Managed Entity.
11.2 Following termination of the relevant Service and application of the Deposit in accordance with Clause 11.1, Sleek shall notify the User of any balance of the Deposit remaining (the “excess funds”) and shall refund it to the User on request. If the User fails to make any attempt to reclaim the excess funds within sixty (60) days of that notice, then the excess funds shall be non-refundable and Sleek shall be entitled to forfeit such funds in their entirety. Further, the User agrees to waive any future claims against Sleek and/or its Affiliates, Appointees, officers, directors and employees in respect of such funds. Sleek shall be entitled to rely on this Clause 11.2 as a full defence to any such claim.
11.3 Following any such set-off, the User shall, on demand, top up the Deposit to the required amount as a condition of continued provision of the relevant Service.
12.1 Definition of Confidential Information. In connection with their performance under these Terms, each party may from time to time make certain information available to the other party that is not generally known to the public at the time of its disclosure and is either identified as, or should reasonably be understood by the receiving party to be, proprietary or confidential (the "Confidential Information"). Confidential Information specifically includes, but is not limited to, the terms of any order form(s) entered into by the parties, User Content, business plans, product plans, roadmaps, strategies, forecasts, projects and analyses, the results of any audit related to the Services (including but not limited to any security audit), financial information and fee structures, business processes, methods and models, and technical documentation. Confidential Information does not include information that: (a) is or becomes publicly available without breach of these Terms by the receiving party; (b) was known to the receiving party prior to its disclosure by the disclosing party; (c) is or was independently developed by the receiving party without the use of any Confidential Information of the disclosing party; or (d) is or was lawfully received by the receiving party from a third party under no obligation of confidentiality.
12.2 Protection of Confidential Information. Without the express prior written permission of the disclosing party, or as required by law, the receiving party will not disclose, transmit, or otherwise disseminate to any third party any Confidential Information of the disclosing party and will use at least the same degree of care and discretion with respect to the Confidential Information received from the disclosing party as it uses with its own similar information, but in no event less than a reasonable degree of care. The receiving party may disclose the disclosing party's Confidential Information to its employees, Affiliates, consultants, subcontractors, agents, or advisors who have a strict need to access the Confidential Information for the purpose of performing under these Terms and only to those who are obligated to maintain the confidentiality of such Confidential Information under terms that are at least as protective as the terms set forth in these Terms. Either party may disclose these Terms to potential parties to a bona fide fundraising, acquisition, or similar transaction solely for the purposes of the proposed transaction, provided that any such potential party is subject to written non-disclosure obligations and limitations on use that are no less protective than those set forth herein.
12.3 Unauthorised use of Sleek Personnel Information. Without the express prior written permission of the individuals involved, any use of Sleek personnel information including but not limited to the nominee director and company secretary's personal information including but not limited to name, identification number, email address and contact number for the registration of any accounts or for any other purposes is prohibited ("Sleek Personnel Information"). Sleek reserves the right to take legal action and also to terminate our services should such a situation arise.
12.4 Equitable Relief. The receiving Party acknowledges damages may be an inadequate remedy and that the disclosing Party may seek injunctive relief.
12.5 Compelled Disclosure. The receiving Party may disclose Confidential Information where legally required, disclosing only the portion required and maintaining confidentiality otherwise.
12.6 Data protection. Sleek shall comply with the data-protection law applicable in the contracting jurisdiction (identified in the Regional Terms) in the collection, use, disclosure and processing of User Personal Data. By using the Platform and Services You acknowledge and consent to such processing in accordance with the Sleek Privacy Policy, which forms an integral part of these Terms.
12.7 Data breach notification. Sleek shall notify You without undue delay of a personal-data breach likely to result in a risk to your rights, save where the applicable data-protection law permits non-notification.
12.8 You acknowledge that internet transmissions are never completely private or secure.
12.9 Sleek may retain and use certain User Personal Data for its internal purposes (performance and functionality, information security, fraud prevention, troubleshooting and service improvement, including the training of computational models on data that has been aggregated or de-identified so that it no longer identifies the User or any individual), provided that this does not involve any external or public-domain disclosure of User Personal Data except as required by Applicable Law.
12.10 The User acknowledges and agrees that the provision of the Services and the operation, maintenance and security of the Platform may require Sleek personnel, technical teams and other authorised personnel located outside the User’s Location to access and process User Personal Data. The User authorises Sleek to permit such international access and, where applicable, to transfer and process User Personal Data in other jurisdictions to the extent reasonably necessary to provide the Services and operate, maintain and secure the Platform, in each case in accordance with Applicable Laws.
12.11 Regulatory Record Retention. User acknowledges that Sleek is legally obligated to maintain customer due diligence records, transaction history, and related correspondence for a minimum of five (5) years or such longer period required by Applicable Law following the termination of these Terms. The User agrees that Sleek shall not be obliged to erase or delete such records prior to the expiry of the statutory retention period applicable to the User Location, notwithstanding any deletion request. Sleek shall hold all retained data securely, restrict its use strictly to regulatory and compliance obligations, and safely dispose of it upon the lapse of the retention period.
13.1 By agreeing to these Terms, You agree to only subscribe to the use and access of the Services. You acknowledge that You have a limited right to access and use the Services and that no ownership rights are transferred to You under these Terms. Provided that the User complies with these Terms, Sleek hereby grants the User a worldwide, limited non-exclusive, non-assignable, non-transferable and revocable licence to use the Platform in order to gain access to the Services.
13.2 The Parties acknowledge and agree that all rights, title and interest (including but without limitation to intellectual property rights) in and to the Services (including the Platform, underlying software and any software or documentation made available to the User through the Services, which includes any enhancements, modifications or derivative works associated thereto), and Sleek's trademarks, names and logos, processes, know-how, data, documents and any other materials created or provided by Sleek or obtained from Sleek in connection with these Terms ("Sleek IP") belong solely and exclusively to Sleek.
13.3 Sleek IP shall not be reproduced, modified, distributed, published, displayed, transmitted or hyperlinked without Sleek's prior written approval.
13.4 The User shall not challenge the validity or Sleek's ownership of or right to Sleek IP. Save for the rights expressly granted to the User under these Terms, the User shall have no other rights, title or interest in or to the Services (including any software or documentation made available to the User through the Services) and to Sleek IP.
13.5 Unless otherwise agreed to in writing by Sleek, the User shall not combine, merge, subsume or otherwise, whether directly or indirectly, incorporate or permit to be incorporated the whole or any part of the Services and/or Sleek IP into another software, database, program or service not authorised by Sleek; and create, cause to be created or permit to be created any derivative works based on any of the Services and/or Sleek IP.
13.6 Save as expressly set out in these Terms, Sleek makes no warranties or representations in relation to the Sleek IP. Subject to Clause 15.4, Sleek shall not be liable for any damages, Loss, expenses or costs in the event that the Sleek IP or any part of it infringes or is alleged to infringe the rights of any third party, save to the extent such infringement arises otherwise than from any User Inputs or User Content. Sleek shall have control of all proceedings in any court of law or tribunal in respect of any infringement of the Sleek IP. If Sleek wishes to bring or defend such proceedings, the User shall, at Sleek's request, render such assistance as may be reasonably required of the User in relation to such proceedings.
13.7 Without prejudice to Clause 12.2 above, the Parties acknowledge and agree that all of the benefit, right, title and interest in and to all Foreground IP, including the right to sue for damages and other legal and equitable remedies in respect of infringement and all other rights of action, powers, and benefits arising from ownership of the Foreground IP, will be the sole and exclusive property of Sleek, and will constitute Sleek IP. "Foreground IP" means all rights to inventions, patents, know-how, trademarks, registered designs, copyright and related rights, database rights, design rights, trade secrets, confidential information, rights to use and protect confidential information, in each case whether registered or unregistered, including any rights to apply for and be granted applications for any of the foregoing and any renewals or extensions of, and rights to claim priority from, those rights, and any similar right recognised from time to time in any jurisdiction, together with all rights of action in relation to the infringement of any of the foregoing, that is generated, invented, developed, obtained, reduced to practice or produced during the course of, or as a result of entering into these Terms.
13.8 The marks "Sleek" and "SleekSign" and their logos are trademarks of Sleek; no right to use them is granted without prior written approval.
13.9 Sleek and the User may use third party software and application programming interfaces ("APIs") when using the Platform or the Services. Sleek does not guarantee the reliability of such third-party software or APIs. The User agrees that Sleek is not liable for any Loss or damage arising out of the use of such third-party software or APIs to access any information, the Platform or the Services.
13.10 You retain full ownership and responsibility for all documents, data, and content created, uploaded, or submitted by You through the Platform (“User Content”). However, by using the Platform, You grant Sleek a non-exclusive, royalty-free, worldwide licence to process, store, and use such content solely for the purpose of providing the Services. Sleek shall not claim ownership of User Content nor use, modify, distribute, or disclose such content for any purpose other than delivering the agreed Services, unless required by law or with Your explicit written consent.
14.1 The Services and the content and documents generated by the Platform are provided on an "as is" basis. No assurance, representation or warranty of any kind is made whether express, implied or statutory including but not limited to warranties of title or implied warranties of satisfactory quality, fitness for a particular purpose or non-infringement.
14.2 Sleek will make every effort to provide high quality Services, however, it does not make any representation or warranty that the information or content provided as part of the Services will be entirely correct and up to date; the documents generated as part of the Services will be accurate, adequate, reliable, free from defect or error or omissions, suitable for a particular purpose or legally sound; the Services are free from bugs or viruses; correspondence between a User and Sleek will be free from interception, corruption, error, delay or loss; access to the Services will always be available or uninterrupted, particularly if the unavailability or interruption is caused by, directly or indirectly, forces beyond its control, including, without limitation, strikes, work stoppages, accidents, acts of war or terrorism, civil or military disturbances, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware) services; or use of the Services will achieve any particular result and meet Your expectations with respect to a specific commercial objective.
14.3 Sleek is not a law firm, or a tax or investment advisory practice. The Services (including any document templates) are provided for administrative and compliance purposes only and do not constitute legal services, tax or investment advice, legal opinions, legal representation or recommendations regarding your rights, obligations, or business decisions. You remain solely responsible for obtaining independent professional advice where required. Nothing in these Terms or the provision of the Services creates a lawyer-client, fiduciary, or similar relationship between Sleek and the User. Communications with Sleek are not subject to legal professional privilege or attorney-client privilege.
14.4 Sleek does not warrant or guarantee any particular outcome, including the successful incorporation, registration, approval, or continued good standing of any entity, filing, licence, permit, or application. Such outcomes remain subject to Applicable Law, regulatory requirements, third-party decisions, and the User's ongoing compliance with its legal obligations.
15.1 To the fullest extent permitted by Applicable Law, and subject to Clause 15.3 below, Sleek and its Affiliates, directors, officers, employees, agents, representatives, partners expressly limit their liabilities in connection with the Services and these Terms.
15.2 Neither party shall be liable for any indirect, special, incidental, punitive, exemplary or consequential losses or damages or any loss of profit, business or data arising out of or in connection with these Terms.
15.3 Any liability of Sleek to the User shall be limited to the total amount of Fees paid by the User to Sleek for the Services in the twelve (12) months preceding the event giving rise to the liability.
16.1 You agree to indemnify and hold Sleek (and/or its Affiliates, officers, directors and employees) harmless from and against all liabilities, damages, judgements, claims, demands, costs, taxes and expenses (including legal/ professional fees and costs), and expenses howsoever incurred by Sleek, in connection with or arising from the User's breach of these Terms, any infringement of a third party's intellectual property rights by any User Inputs or User Content, or Sleek's performance of the Services in accordance with the User's instructions.

16.3 Notwithstanding anything in these Terms and in addition to Clause 16.1, in the event of persistent or impending breach by the User of these Terms or any Applicable Laws, as may be reasonably determined by Sleek in its sole and absolute discretion, Sleek shall be entitled to pursue such legal and administrative recourse as may be necessary, including assuming control of the User's account or initiating filings with the relevant authority on the User's behalf, in order to discharge its duties under Applicable Laws and/or to mitigate the effects of such breach or default.
16.4 The foregoing Clause 16.3 shall be in addition to and shall not adversely affect any other rights or remedies available to Sleek under Applicable Laws.
16.5 Conduct of indemnified claims. Sleek reserves the right, at the User's expense, to assume the exclusive defence and control of any matter for which the User is required to indemnify Sleek under Clause 16.1, and the User agrees to cooperate, at its sole expense, with Sleek's defence of such claims. (b) To the extent permitted by law, Sleek may cease providing the Services at any time by giving at least thirty (30) days' written notice, without assigning any reason whatsoever and shall be under no obligation to enter into any further correspondence in such circumstances. Should the Services be discontinued, Sleek shall incur no liability for any Loss that any User may suffer as a consequence of such discontinuation of Services.
17.2 Notwithstanding the foregoing, either Party may terminate the Services with immediate effect on written notice, in the event that the other Party is in material breach of these Terms, or any applicable terms of Service or any Applicable Laws, where such breach is (i) incapable of remedy; or (ii) capable of being remedied but the defaulting Party has failed to do so within fifteen (15) days after receipt of written notice requiring it to do so. Without limitation, a material breach by User includes where:

(k) the User is unable to provide historical statutory or other records necessary for the provision of the Services; or
(l) continuing to provide the Services may damage Sleek's reputation.
17.3 In addition to its rights under Clauses 17.1(b) and 17.2, Sleek may terminate any of the Services with immediate effect on written notice to the User where required by Applicable Law or by any regulator, registry or authority, or where continuing to provide the Services would expose Sleek to legal, regulatory or reputational risk, in which case the User shall be given a pro-rata refund of the Fees in respect of the unexpired period of the relevant Subscription.
17.4 If you terminate any Services, Sleek shall be entitled to terminate the User's access to the Platform. You will be able to access and export the records pertaining to your company for a period of thirty (30) days from the date of termination (the "Post-Termination Period").
18.1 During the applicable Post-Termination Period, or in any case prior to the effective date of termination, the User shall provide Sleek with the details of any replacement service provider required under Applicable Law, together with the address or other delivery details to which Sleek may transfer the User Documents. For the purposes of this Clause, "User Documents" means documents belonging to the User but excludes: (a) Sleek's internal communications, advice, opinions, correspondence, emails, file notes and working papers; and (b) any materials constituting or containing Sleek's intellectual property.
18.2 If the User fails to provide the details of a replacement service provider by the effective date of termination, Sleek may, to the extent permitted by Applicable Law, cease providing the Services and arrange for the resignation of any Sleek Appointees without the appointment of successors, or, where the laws and regulations prevent any such unilateral withdrawal, take all steps as are necessary to withdraw Sleek Appointees from acting for the User.
18.3 Upon termination of the Services for any reason, Sleek shall be entitled to:
(a) charge the User, at its prevailing rates, for all work performed and expenses incurred in connection with the termination of the Services and the transfer of the User's administration, records and User Documents, whether incurred before or after the effective date of termination;
(b) retain such reserves, require such indemnities and take such steps as Sleek reasonably considers necessary in respect of any actual or contingent liability arising from the Services;
(c) exercise any lien or other right of retention permitted by law over the User Documents or any assets held on behalf of the User until all outstanding fees, expenses, disbursements and other amounts due and payable to Sleek have been paid in full; and
(d) retain any fees paid in advance to the extent permitted under these Terms or Applicable Law.
18.4 In respect of termination under Clause 17.1 above, User shall be given a pro-rata refund of the Fees, if applicable, in respect of the unexpired period to which the annual services fees relate. In the event of any statutory filing fees paid out by Sleek over the course of providing the Services to the User then none of the Fees (including such statutory filing fees) shall be refundable under any circumstances. For the avoidance of doubt, no Fee shall be refundable for termination under Clause 17.2.
18.5 After the Post-Termination Period your company information may be deleted or overwritten, subject to the Privacy Policy and retention requirements under Applicable Law. You are responsible for maintaining your own records thereafter.
18.6 Survival. Termination or expiry of these Terms or of any Service shall not affect any right, remedy, obligation or liability that has accrued to either party as at the date of termination or expiry. Any provision of these Terms which expressly provides for its continuation after termination, or which by its nature is intended to survive termination, shall remain in full force and effect, including the provisions relating to accrued Fees, refunds and deposits, confidentiality and data protection, record retention, intellectual property, disclaimers, limitation of liability, indemnity, non-solicitation and governing law.
19.1 Sleek may amend these Terms from time to time, as it thinks fit. Minor or administrative updates that do not materially affect Your rights or obligations may be made without prior notice.
19.2 If Sleek makes material changes to these Terms that may negatively impact Your rights or obligations, Sleek will use reasonable endeavours to provide the User with at least thirty (30) days' notice before the changes take effect. If You continue to use the Services after this period, You will be deemed to have accepted the revised Terms. If you do not agree to any amendment or changes to the Terms, you may request for termination of Services in accordance with Clause 17 (Termination) of these Terms.
19.3 Any notices or communications from Sleek to you may be sent to you in writing via email, SMS, push notification, the Platform, or by post at the address last provided by you, or displayed as an in-app notification. Any notice sent to your email address or phone number shall be deemed to be received by you within 24 hours of being sent.
20.1 A Party's failure to enforce a provision in these Terms is not a waiver of that Party's right to do so later, unless such Party waives such right to enforce the said provision in writing.
20.2 If a provision in these Terms is found to be unenforceable the remaining provisions of these Terms will remain in full effect and an enforceable term will be substituted, reflecting the initial intent.
Only the User and Sleek shall be entitled to enforce these Terms. No third party shall be entitled to enforce any of these Terms, whether under any legislation conferring rights on third parties in respect of contracts or otherwise. Nothing in these Terms, express or implied, is intended to confer on any person, other than the parties hereto, any rights or remedies under or by reason of these Terms.

(b) the address for service of notices;
(c) the governing law of these Terms; and
(d) the courts having jurisdiction over any dispute arising out of or in connection with these Terms, and are specified in the Regional Terms.
22.2 These Terms and any disputes between User and Sleek will be governed by, and construed in accordance with, the Governing Law as specified in the Regional Terms, without giving effect to its conflict of law principles.
Jurisdiction specific conditions shall apply according to the User Location and are set out as “Regional Terms” under Appendix I. The relevant Regional Terms form an integral, legally binding part of these Terms upon the User’s purchase or selection of Service in the corresponding User Location.
24.1 These Terms of Service, together with the Regional Terms and the SBA Terms (if applicable), constitute the entire agreement between us and you with respect to the subject matter hereof and supersede all previous negotiations, understandings and agreements, whether oral or written.
24.2 Sleek reserves the right to assign, novate, transfer or delegate any of Sleek’s rights and obligations under these Terms in whole or in part to another person or entity at any time without your consent and without prior notice to you. You may not assign, transfer or delegate any of your rights or obligations or any part of them under these Terms to another person or entity without Sleek’s prior written consent, and any unauthorized assignment, transfer or delegation by You is void.
24.3 You agree that these Terms will not be construed against Sleek by virtue of having drafted it.
24.4 You hereby waive any and all defences you may have based on the electronic form of Sleek’s agreement with You and the lack of signing by the parties hereto to execute the agreement.

(i) for a Top-up, the funds are credited into your Account;
(ii) for an E-money Transfer, the funds are sent from your Account to the Recipient’s Account; or
(iii) for a Fund Transfer, the funds are redeemed from your e-money and transferred to the Recipient’s bank account.
(f) Where a Transaction request has not been successfully processed by us (or has been unsuccessful for any reason), you will not be charged for the Transaction and no funds shall be deducted from your Account (as determined solely by us). We are not liable for any losses you may incur arising from an unsuccessful Transaction, and we shall not be required to compensate you for any such losses.
(g) Upon processing of a Transaction, we will send you a Transaction notification to the email address or telephone number you have provided to us. You are responsible for monitoring your Account and Transaction notifications. You may also view your complete Transaction History part of the Dashboard.
(h) You are fully responsible for all Transactions performed on your Account and all instructions you provide to us, including the amounts and Recipient details. You are responsible for confirming that all Transaction details (including the Recipient details, amounts and currency) are correct prior to submitting a Transaction request. Once submitted, you may not be able to cancel or amend a Transaction. We are not liable for any losses you incur if you have entered incorrect Transaction details.
(i) You are responsible for ensuring that your contact details are complete, accurate and updated, enabling Transaction notification alerts on any device you use to receive Transaction notifications from us and monitoring the Transaction notifications sent to your primary email address and/or telephone number. We may assume that you will monitor such Transaction notifications without further reminders or repeat notifications. You agree and consent to the sending by us and our affiliates of such Transaction notifications by broadcast and push messages as well as via SMS/email. Please note that even if you do opt out of receiving electronic marketing communications from us, you cannot opt out of receiving Transaction notifications from us. You are fully responsible for checking each Transaction notification and your Transaction history and for reconciling such entries and/or information against your own records. Entries in the Transaction history should be treated as prima facie evidence of Transactions made or credited to your Account, and unless you notify us in writing within 60 days of such Transaction being made or credited to your Account, any such entry shall be deemed to be accepted and binding on you. If you do not agree with a Transaction, you must notify us immediately.
(j) Transactions will be conducted in the currency you specify, or in such currency as we may determine from time to time. Your Account may be maintained in multiple currencies. You are solely responsible for assessing which currency to use for your Account and Transactions.
(a) A Top-up is a Transaction by which you may add funds to your Account from your bank account. You may perform a Top-up subject to the Limits.
(b) When you request a Top-up, you must provide us with the bank account details from which the funds will be transferred. We will then initiate the transfer of funds from your nominated bank account. The Top-up will be completed once the funds are credited into your Account. The timing of the Top-up will depend on the bank’s processing time and other third-party systems involved in the transfer process. We do not guarantee that the Top-up will be processed by a certain time.
(c) We reserve the right, at our sole discretion, to refuse to process any Top-up request without assigning any reason.
(a) Send Transactions are Transactions in which you send e-money to another Sleek Business Account holder (E-money Transfer) or send funds via redemption of e-money in your Account to a bank account (Fund Transfer).
(b) For you to request a Send Transaction, you must submit your Send Instructions via the Dashboard. Your Send Instructions must clearly specify (i) the Recipient, (ii) the amount being transferred, (iii) the currency and (iv) any other details we may require. We will process your Send Instructions and perform the Send Transaction in accordance with these SBA Terms.
(c) Once a Send Request has been processed by us, you will not be able to withdraw, cancel or make any changes to the same. We shall not be liable for any losses you incur from entering incorrect Send Instructions.
(d) If the currency of the Recipient’s account (as specified in your Send Request) is different from the currency of the e-money you are using to enter into the Send Transaction, then as part of the Fund Transfer we shall redeem your e-money and use it to purchase the appropriate currency prior to sending the money to the Recipient’s account, and the Exchange Rates shall apply for such currency exchange.
(e) If, for whatever reason, the funds are not deposited into the Recipient’s account and are returned to us, they will be converted into the currency of the e-money they were originally withdrawn from. Due to the difference in price for purchasing and selling currencies and/or fluctuations in currency exchange rates, the amount of e-money you receive back into your Account will be less than the amount that was originally sent.
(f) For Fund Transfers to a bank account, you represent and warrant that the nominated bank account details you provide are correct and belong to the intended Recipient. We are not liable for any Losses you incur if you have provided incorrect bank account details or if the funds are transferred to an unintended recipient. We shall have the right to conduct such investigations as we deem fit if a Fund Transfer has been made to an incorrect recipient.
(g) For E-money Transfers, you represent and warrant that the Recipient’s Sleek Business Account details you provide are correct. We are not liable for any Losses you incur if you have provided incorrect Recipient details or if the funds are transferred to an unintended recipient.
(h) We may charge you transaction fees for Fund Transfers as set out in the Fees & Pricing Schedule. We will show you the transaction fees applicable to your Fund Transfer before you confirm your Send Instructions. Where a Fund Transfer involves currency conversion, the applicable Exchange Rate and the final amount payable by you inclusive of any FX markup will also be displayed before you confirm your Send Request. You have the option to accept or reject the Send Transaction based on the fees displayed. However, we reserve the right to impose additional transfer fees if the bank account belongs to a bank or financial institution other than those listed in our Fees & Pricing Schedule. We may also charge fees for transfers to banks in jurisdictions outside of Singapore, or where issues have arisen in relation to the transfer that require additional follow-up, in which case we shall notify you accordingly.
(a) Subject to your compliance with these SBA Terms and our credit assessment of your Account, we may issue you with a Card and/or Virtual Card, which you may use for Card Transactions. The Card and Virtual Card are issued solely for your own use and you may not allow any other person to use the Card or Virtual Card, save for your authorized Account Users as explicitly permitted by us in writing.
(b) Card Transactions are subject to the Account Limits and Card-specific limits as set out at https://sleek.com/sg/sba-limits/. Card Transactions are also subject to transaction fees as set out in the Fees & Pricing Schedule.
(c) Use of the Card and Virtual Card is governed by the Card Terms and any other card-specific terms and conditions that we may provide to you, such as the Sleek Business Card Terms and Conditions. In the event of any inconsistency between these SBA Terms and any Card Terms, the Card Terms shall prevail with respect to matters relating to the Card and Card Transactions.
(d) We may suspend or terminate your Card or Virtual Card at any time without prior notice if we reasonably believe that the Card or Virtual Card is being misused or used in violation of these SBA Terms or Card Terms.

(i) suspension is required by any applicable laws;
(ii) continuing to provide the Beta Services would make Sleek in breach of any obligation that Sleek owes to a third party; or
(iii) Sleek determines that continuing to provide the Beta Services would give rise to an unacceptable security or privacy risk;
and we may terminate your access to the Beta Services if we in our sole discretion stop offering the Beta Services completely, or within User Location.
(c) Sleek may, in its sole discretion, provide Beta Services to you free of charge.
(a) You represent and warrant unconditionally that all information you provide to us on registration or at any time is:
(i) true, accurate, current and complete, and that you will promptly update such information on your Account to ensure that it remains so at all times; and

(ii) not in violation of any third-party rights or any applicable laws.
(b) You undertake to provide us with written notice of any change of information that you provide to us and shall at our request, provide such additional information and supporting documentation regarding your business and identity, as well as that of your beneficial owners, directors, shareholders, executive officers and Account Users as we may reasonably determine to be necessary to ensure compliance with applicable laws, notices, guidelines and third party compliance needs. (c) If we in our sole discretion, believe that you may have breached these SBA Terms, we may take such action(s) as we deem necessary or appropriate, including (without limitation): restricting your access to, or suspending or terminating your Account or the SBA Services, with or without prior notice; and requiring you to pay for any Losses we have incurred or suffered as a result of your breach.
(d) We may, at our sole discretion, close or restrict your Account if you have a negative balance for any reason, or if you have breached any provision of these SBA Terms.
(a) You may request to close your Account at any time by notifying us via the Dashboard or by contacting Customer Support. Once your Account is closed, you will no longer have access to the SBA Services and will not be able to use your Card or Virtual Card (if applicable).
(b) Upon closure of your Account, we will redeem all e-money in your Account and transfer the funds to the bank account you have specified or which you last used for Top-ups, less any of our fees and costs incurred. However, in the event that your Account has a negative balance, we may at our sole discretion make deductions from your Account before returning any remaining funds. If we do not have a valid bank account on file for you, or in the event of any unsuccessful transfer, we shall be entitled to charge an additional transfer fee.
(c) Where your Account has not been accessed or Transactions have not been made on your Account for a continuous period of time exceeding that mentioned in the Fees & Pricing Schedule, we may notify you by any notice methods mentioned herein and give you the option of maintaining your Account operational or closing your Account. If we are unable to contact you, or if you do not respond to the notice within the given time, we may at our option:
(i) charge a dormancy fee which will be deducted from the remaining balance on your Account and thereafter for every month for which the Account remains inactive; and/or
(ii) redeem the e-money and send the corresponding funds, less any of our fees and costs incurred, to the last known bank account we have on file for you.
(d) If we terminated your access to the SBA Services and closed your Account (whether at your request or otherwise), any future requests to re-apply for an Account will be subject to our sole discretion, and we reserve the right to refuse any re-application without assigning any reason.
(a) You shall indemnify, defend and hold harmless Sleek, and our officers, employees, agents, successors and affiliates from and against all Losses (including legal costs on a full indemnity basis) that Sleek or any of them may incur or suffer arising out of or in connection with:
(i) any breach or non-compliance by you of any of these SBA Terms;
(ii) any breach or non-compliance by you of any applicable laws;
(iii) your use of the Account, SBA Services or Platform;
(iv) your misuse of the Account, SBA Services or Platform in violation of these SBA Terms or applicable laws; and
(v) any Transactions (including any unsuccessful Transactions) performed on or through your Account.
(a) Sleek shall not be liable to you for any Losses whatsoever, including any direct, indirect, consequential, incidental, special or punitive damages, arising out of or in connection with:
(i) any suspension or closure of your Account;
(ii) any delay in creation and verification of your Account;
(iii) the provision by us of or your use of the Account;
(iv) the processing of any Transaction;
(v) any Transaction being unsuccessful or considered as unsuccessful or any transfer amount not having been transferred to the Recipient’s account or transferred to a recipient other than the intended Recipient, whether or not arising from your negligence, misconduct or breach of any of these SBA Terms (including as a result of inaccurate information being provided by you);
(vi) any failure, refusal, delay or error by any third party or third-party system through whom or which any Transaction is made;
(vii) any use (whether authorised or not) of your Access Codes and our acting or reliance upon any transactions, instructions, acts, instructions or communications arising or issuing from your or your Access Codes;
(viii) the use in any manner and/or for any purpose whatsoever by any person at any time whatsoever and from time to time of the Platform or SBA Services or any information, data or instructions transmitted in connection therewith, whether or not such use is in breach of these SBA Terms or applicable laws;
(ix) any viruses, malware, bugs or defects in the Platform or SBA Services;
(x) any delay, interruption or discontinuance of the Platform or SBA Services;
(xi) any breach of security, hacking, phishing or other unauthorized access to your Account or personal data; or
(x) any other matter arising out of or in connection with these SBA Terms or the SBA Services, unless the Loss arises directly and solely from our gross negligence, wilful misconduct or fraud.
(b) To the maximum extent permitted by law, Sleek’s total liability to you for all Losses arising out of or in connection with these SBA Terms or the SBA Services shall not exceed the total fees paid by you to us under these SBA Terms over the 12 months preceding the claim, or if no fees have been paid, SGD 100.
(a) Without limiting any other rights we may have (including under Clause 3.5 (b)), we shall have the absolute and unconditional right, at any time and without notice or liability, to recover any sum due from you to us (including any Service Fees due under the Sleek Terms and Conditions of Service or any other agreement between you and Sleek) by setting-off part or all of such sums against part or all of any sum that you have lodged with us under any Transaction or otherwise, or against any amounts which we owe you. You shall have no similar right of set-off. In the event that you breach any provision of these SBA Terms, we may perform such set-off without notice to you.
(b) For the avoidance of doubt, this includes if one of the currency balances in your Account shows that you owe us an amount of funds for any reason or has a negative balance, we may set-off the amount you owe us by using funds you maintain in that currency or in a different currency balance or by deducting amounts you owe us from money you receive into your Account, or money you attempt to withdraw or send from your Account, or in a different Account which you control and by deducting funds from any withdrawals you attempt to make.
(c) If for whatever reason we are unable to set-off any sum due from you, you shall immediately pay such sum to us upon demand. Any sums due from you to us shall bear simple interest at the rate of 8% per annum or the maximum rate permitted by law (whichever is lower) from the date such sum becomes due until the date such sum is fully paid.
(a) If any amount is credited to your Account in error (including any duplicate credit, any credit resulting from a system, processing or operational error, or any credit to which you are not otherwise entitled), or if we return, reverse or recall any funds received for your Account (including where we are required, or reasonably consider it necessary, to do so to comply with Applicable Law, our regulatory obligations or compliance policies, or the requirements of any partner bank or payment service provider), you shall not be entitled to such amount (a "Reversal Amount"), and you authorise us, at any time and without prior notice, to debit the Reversal Amount from your Account, even if this results in a negative balance. This applies whether the error was caused by you, us or any third party.
(b) You shall notify us promptly upon becoming aware that any amount has, or may have, been credited to your Account in error, and you shall not withdraw, transfer or otherwise deal with any amount that you know, or ought reasonably to know, has been credited in error.
(c) To the extent that a Reversal Amount has been withdrawn, transferred or otherwise used, or your Account balance is insufficient to cover it, the Reversal Amount (or the shortfall) shall constitute a debt immediately due and payable by you to us. We may recover that debt in accordance with Clause 3.17, including from your Card Payment Method under Clause 8.4 of the General Terms. Interest shall accrue under Clause 3.17(c) from the date the Reversal Amount was credited until it is repaid in full.
(d) We may suspend or restrict your Account, including withdrawals and Send Transactions, while we investigate any suspected erroneous credit or any funds that may be returned, reversed or recalled.
(e) Any costs we incur in recovering a Reversal Amount (including legal costs) shall be Losses for the purposes of Clause 3.15. This Clause 3.18 survives closure of your Account.

Where Sleek transfers personal data outside Singapore, Sleek shall ensure that the recipient is bound by legally enforceable obligations to provide a standard of protection comparable to that under the PDPA. Sleek's Data Protection Officer may be contacted at [email protected].
For the purposes of clause 8.11, the applicable tax is Goods and Services Tax ("GST"). All Fees are exclusive of GST, which Sleek shall charge in addition where applicable.
Only the User and Sleek shall be entitled to enforce these Terms. No third party shall be entitled to enforce any of these Terms, whether by virtue of the Contracts (Rights of Third Parties) Act 2001 or otherwise.
These Terms shall be governed by, and construed in accordance with, the laws of Singapore.
10.1 In the event of any dispute arising out of or in connection with these Terms (including formation, validity or termination) (a "Dispute"), a Party may give notice to the other Parties to submit the Dispute to mediation to the Singapore Mediation Centre (“SMC”).
10.2 The notice is valid for fourteen (14) Business Days. If the Parties agree to mediate, they have 30 days from submission to resolve the Dispute under the relevant mediation procedure, conducted in English in the jurisdiction identified in the Annex; any settlement reached is binding.
10.3 If the Parties do not agree to mediate, or the Dispute is unresolved after mediation, the courts of Singapore have exclusive jurisdiction.
